The most you can raise using Regulation Crowdfunding (Reg CF) is $5,000,000. Mainvest can work with you to figure out a target and maximum amount that is fit for your business. As a guideline, the majority of businesses raising money on Mainvest raise between $50,000 and $500,000.
There are some thresholds that require additional disclosures, which are important to remember when preparing an offering. The SEC is subject to review these amounts periodically based on inflation, and the most recent change was announced in September 2022.
Businesses raising less than $124,000 must provide financial statements as outlined in the onboarding process, certified by the executive officer of the Issuer.
Businesses raising more than $124,000, but less than $618,000 must provide the above financial statements, but those statements must be reviewed by a public accountant that is independent of the Issuer (CPA review).
If a business is raising more than $618,000 and it is their first Title III offering, the Issuer must provide financial statements that have been reviewed by a public accountant that is independent of the Issuer (CPA review). If this is not the Issuer’s first Title III offering, financial statements that have been audited by a public accountant that is independent of the Issuer are required. (CPA audit).
